Payment Terms & Conditions

1. Definitions

Seller: EcoForm Consulting Pty Ltd (ABN: 84312000054) including its successors and assigns.
Client: The person or entity engaging EcoForm’s services.

2. Payment Terms

Invoices shall be issued upon completion of the report or thirty (30) calendar days after the initial advice is sent, whichever occurs first. Payment is due within seven (7) days of the invoice date unless otherwise agreed in writing. Time for payment is of the essence.

3. Invoicing & Proof of Purchase

EcoForm will issue a valid tax invoice or invoice including: company name, ABN, invoice date, services provided, and the amount payable. This satisfies the legal requirement for proof of purchase under Western Australian consumer law.

4. Overdue Payments

Interest on overdue invoices shall accrue daily from the due date until full payment is received at a rate of 2.5% per calendar month, compounding monthly at EcoForm’s sole discretion, both before and after judgment.If payment is dishonoured for any reason, the Client shall be liable for any dishonour fees incurred by EcoForm.
If the Client defaults on any payment, the Client agrees to indemnify EcoForm against all costs incurred in recovering the debt, including legal fees on a solicitor and own client basis and collection agency fees.
If the Client breaches any obligation, including payment obligations, EcoForm may suspend or terminate services without liability for resulting loss or damage.
If any invoice remains unpaid after thirty (30) days, an administration fee shall be charged: the greater of $20.00 or 10% of the overdue amount, capped at $200.00, which becomes immediately payable.

5. Disbursements

The Client agrees to reimburse EcoForm for reasonable disbursements directly related to service delivery (e.g., certification fees) unless otherwise agreed.

6. Privacy & Credit Reporting

The Client consents to EcoForm disclosing relevant personal or business information to a credit reporting body or debt collection agency for the purpose of recovering overdue payments, in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. This may include identity details, payment history, defaults, and other information relevant to creditworthiness or collection action.

7. Consumer Law Compliance

These terms are consistent with the Australian Consumer Law (ACL) as applied in Western Australia and do not exclude any statutory rights, including guarantees for acceptable quality and due care and skill. EcoForm does not include any terms considered unfair under the ACL and complies with obligations under section 18 (misleading or deceptive conduct).

8. Governing Law

These Terms are governed by the laws of Western Australia, with exclusive jurisdiction residing in WA courts.
